Property Rights and Ownership
All elements of design work for all projects remain the property of Sallart Studios Inc. whether or not the project is executed. If the Client wishes to terminate the project at any time, Sallart Studios Inc. reserves the right to retain the rights for uses. All preliminary and final drawings, artwork, specifications and other visual presentation materials remain the property of Sallart Studios Inc. to show in printed or online portfolios indefinitely and may not be used by the Client without the written permission of Sallart Studios Inc. Final artwork and concepts may not be given to a third party to alter, reproduce or post online in any way without express permission of Sallart Studios Inc.
Rights
Other than for the promotional use of Sallart Studios Inc., all services provided by Sallart Studios Inc. shall be for the exclusive use of the Client’s said purposes ONLY, with the exception of designs and or characters created based on an extension of an existing line of Sallart Studios Inc. cards, whereby Sallart Studios Inc. retains the rights to use and sell the designs and/or characters. Sallart Studios Inc. retains the rights to all designs, design elements and printing of designs provided to the Client. For further usage, licensing options will be priced and based on a case by case basis. No part of the final printed materials or other materials supplied to the Client may be used for resale purposes, with the exception of materials designed for resale and sold by Sallart Studios Inc. to authorized wholesale retailers, resellers, retail locations and Partners.
Design Rights and Credits
Sallart Studios Inc. retains the rights to include branding and promotional information (including but not limited to: logo, Product name(s), website, copyright date, designer credits and any applicable donations to charitable organizations on behalf of Sallart Studios Inc. through the sale of the Product) on the back of all Product. All Products will include the appropriate environmental symbols, certifications and information corresponding to the Product materials, design, manufacturing and processes. Sallart Studios Inc. retains the right to full use of the back of each card for branding and promotional purposes, with the exception of co-branding with the Client or Client’s charities or organizations through Sallart Studios Inc. brand the back™ service in which the Client’s branding and messaging will be included on the back of the Product, in accordance within the design scope and promotional rights of Sallart Studios Inc. The Client shall not, without written approval, use Sallart Studios Inc. or the Product Designer’s name for promotional use or any other purposes with respect to these designs.
Liability of Sallart Studios Inc. and the Designer
Sallart Studios Inc. and the Product Designer shall take reasonable precautions to safeguard original or other materials provided by the Client. Sallart Studios Inc. and the Product Designer shall not be liable for any damage to, or loss of any material provided by the Client, including artwork, photographs or manuscripts, other than or on account of wilful neglect or gross negligence of Sallart Studios Inc. or the Product Designer. Sallart Studios Inc. is not liable for poor print quality of artwork provided by the Client that does not meet or exceed the standard parameters determined by Sallart Studios Inc. Although Sallart Studios Inc. may recommend that the Client use third party services or trades people, Sallart Studios Inc. shall have no liability for payment to these third parties, nor shall Sallart Studios Inc. have liability as a result of any services or products or materials by said third parties.
Approval of Final Artwork
The Client shall proofread and approve all final copy before the production of artwork and Product. Final proof will include artwork, size, quantities, material selections, and shipping address. Email verification of the Client’s Representative shall be conclusive as to the approval of all artwork, drawings and other items prior to their release for printing or fabrication. Sallart Studios Inc. does not offer copywriting, proofreading or editing services. Copy must be ready to place, checked for spelling & grammar and provided in Word or .txt format. NO refunds or reprints are given after the final approved design has gone to print.
Timelines
After the deposit is received and the project specifications have been outlined and signed-off, Sallart Studios Inc. will provide you with an estimated turnaround time. Timelines are subject to change due to unforeseen reasons. The turnaround time is from the date Sallart Studios Inc. receives sign-off on all design and print package selections as well as ALL applicable content from the Client, including copy, artwork, photographs or other materials required for inclusion in the project design. The turnaround time will change should the Client not provide timely feedback and sign-offs throughout the design and print process. If the Client is unresponsive or decides to take a break from the project, timelines will change accordingly. Projects of Clients that are unresponsive beyond 30 days will be cancelled without refund.
Termination
Either party may terminate this Agreement upon giving written notice to the other. Upon termination Sallart Studios Inc. may retain any initial payment and the Client shall pay Sallart Studios Inc. for all hours expended on the project, up to the date of termination, at Sallart Studios Inc. standard rates, together with all other amounts due with regard to the project.
Payment of Fees
The schedule of fees for all custom Design Packages requires a 50% deposit and 50% upon completion of the Product design(s). Payment in full for Design Packages, Printing, taxes and shipping charges are due in full before printed materials are shipped out. Sallart Studios Inc. accepts payment in the form of cheques made out to Sallart Studios Inc. All NSF cheques will incur an administration fee. Shipping fees will be waived based on minimum orders of 12,000 Product units.
Refunds
Once a Product has been designed in full according to the agreed upon specifications, no refunds are given after the design has been approved. If more than the agreed upon number of layouts is provided along with revision no deposit is refunded. If print quality is poor, the Client’s order will be reprinted at no cost. No refunds are given for poor print results due to artwork provided by the Client that did not meet or exceed the standard parameters determined by Sallart Studios Inc. Refunds for shipping and printing are not given.
Sallart Studios Inc. retains the right to change or update our policies and pricing at any time without notice.
